Terms of Service

Last updated: 26 June 2026. These terms govern your access to and use of SriWatt. By using the service or placing a booking, you agree to them.

1. Agreement & who we are

SriWatt is operated by Matrika OÜ, registered in the Estonian Commercial Register (e-Business Register) under number 17500422, with its registered office in Tallinn, Estonia(“SriWatt”, “we”, “us”). These Terms form a binding agreement between you (or the company you represent) and Matrika OÜ. If you are accepting on behalf of an organisation, you confirm you are authorised to do so.

2. The service

SriWatt is a deep-tech subscription platform built around the SriWatt Hardware device — an on-site unit that measures real sunlight, weather and soiling at solar sites to capture local microclimate ground truth. SriWatt turns that field evidence into forecasts and tools for engineering, procurement and construction (EPC) partners and their clients, including a device calculator, a map-based project location picker, ordering, a referral programme and a project dashboard. Where no device is deployed, the platform still operates using your inputs and third-party data, without the benefit of on-site measurement.

3. Accounts & eligibility

You must provide accurate information, keep your credentials secure, and are responsible for activity under your account. SriWatt is a business product intended for users aged 16 or over. You may sign in with email or with a Google Account; our handling of sign-in data is described in our Privacy Policy.

4. Bookings — priority allotment

Bookings reserve a priority allotment from the first batch of 5,000 devices:

Your booking advance — 50% of your contract value (paid via Stripe) — reserves your place in the first batch.
The balance is settled by corporate bank transfer once your order is confirmed.
A short technical fit call happens before the final order is locked.
If we cannot serve your sites, your booking payment is refunded in full.
Device counts are sized one per six installations (for sub-100 kWdc projects) or scaled by your annual MWdc pipeline — see the booking calculator for your exact number.

5. Fees, subscriptions & taxes

Hardware is charged as set out at checkout. Platform access is offered as a subscription of €999 per device per year, or €99 per device per month. Fees are exclusive of VAT and other taxes, which are added where applicable. Recurring subscriptions renew until cancelled. Except where stated (such as the booking refund above) or required by law, fees are non-refundable.

6. Payments

Card payments are processed by Stripe; we never see or store full card details. You are responsible for providing valid payment information and for any bank charges on transfers.

7. Referrals & contact import

Our referral programme lets you invite others to SriWatt and earn rewards when they sign up or order. You may type addresses manually or, optionally, import contacts from your Google Account. If you import contacts, we use the Google People API with read-only access (contacts.readonly) to show your contacts’ names and email addresses so you can choose who to invite; we send invitations only to the contacts you select. By importing and inviting contacts, you confirm you are entitled to share those email addresses with us for this purpose. Referral rewards are subject to verification: we may review, withhold or reverse earnings we reasonably believe arise from fraud, self-referral, spam or other abuse. Our handling of contact and referral data is described in our Privacy Policy.

8. Maps & location features

The project location picker is provided using Google Maps Platform. By using the map, address search or location features, you also agree to the Google Maps/Google Earth Additional Terms of Service (which incorporate the Google Privacy Policy). The coordinates you set are estimates for positioning and forecasting; you are responsible for confirming the actual site location before installation.

9. Acceptable use

You agree not to:

misuse, disrupt, or attempt to gain unauthorised access to the service or its data;
reverse-engineer, resell or copy the service except as permitted by law;
upload unlawful, infringing or harmful content; or
use the service in breach of applicable laws or third-party rights.

10. Intellectual property

SriWatt, its software, content and trademarks are owned by Matrika OÜ or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the service for your internal business purposes. You retain ownership of the data you submit and grant us the rights needed to operate and improve the service.

11. Disclaimers

The service is provided “as is”. Forecasts and calculator outputs are estimates based on available data and do not constitute financial, engineering or investment advice. To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.

12. Limitation of liability

To the maximum extent permitted by law, Matrika OÜ is not liable for indirect, incidental or consequential losses, or loss of profits, revenue or data. Our total liability arising out of or relating to the service is limited to the amounts you paid us in the twelve months before the event giving rise to the claim. Nothing limits liability that cannot be excluded under applicable law.

13. Suspension & termination

You may stop using the service at any time. We may suspend or terminate access if you breach these Terms or to protect the service or other users. On termination, your right to use the service ends; sections that by their nature should survive (e.g. fees owed, IP, disclaimers, liability) continue to apply.

14. Governing law

These Terms are governed by the laws of Estonia. The courts of Tallinn, Estonia have jurisdiction, without prejudice to any mandatory consumer-protection rights you may have in your country of residence.

15. Changes to these Terms

We may update these Terms from time to time. We will revise the “Last updated” date above and, for material changes, take reasonable steps to notify you. Continued use of the service after changes take effect means you accept the updated Terms.
